Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of CritFlip (the “Service”), operated by West Michigan 3PL Inc(“we,” “us,” or “our”). By creating an account, starting a free trial, or otherwise using the Service, you agree to be bound by these Terms.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You may not share an account with another person, and you may not transfer an account without our written consent.

You must be at least 18 years old to create an account. You agree to provide accurate, current information when you sign up and to keep it current.

The Service relies on eBay's developer APIs. When you authorize a CritFlip connection to your eBay account via OAuth, you grant us permission to call eBay's APIs on your behalf using the token eBay issues. You can revoke that authorization at any time through your eBay account settings; CritFlip features that depend on the eBay connection will stop working when you do.

You agree to use the Service in compliance with eBay's applicable API License Agreement, Marketplace Policies, and Acceptable Use Policy. You agree not to use the Service to scrape, redistribute, or republish eBay data in violation of those policies.

CritFlip is offered as a paid subscription at $50 per month. A 30-day free trial is available; no credit card is required to begin the trial. At the end of the trial, your access will pause until you provide payment details and confirm a subscription.

Paid subscriptions renew automatically each month on your billing anniversary unless you cancel at least 24 hours before the renewal date. Cancellation takes effect at the end of the then-current billing period; you keep access through that date.

We do not pro-rate refunds for unused time within a billing period. If you believe you were charged in error, email support@critflip.app within 30 days and we will review the charge in good faith.

CritFlip is subscription-only. We do not take a percentage of your purchases or sales. You pay your monthly subscription; everything you buy through the in-app checkout flow goes through eBay directly on your existing eBay account.

You agree not to:

• Use the Service to harvest data in violation of eBay's policies or any applicable law.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as expressly permitted by applicable law.
• Resell, sublicense, or share access to the Service with parties outside your own business.
• Interfere with or disrupt the integrity or performance of the Service, including by submitting deliberately malformed requests.

We strive to keep the Service available continuously, but we do not guarantee a specific uptime level. The Service may be unavailable from time to time due to scheduled maintenance, third-party outages (including eBay's own APIs), or unforeseen incidents. We are not liable for downtime caused by factors outside our reasonable control.

We may make experimental or beta features available within the Service. Beta features are offered “as-is” and may be modified or removed at any time without notice. Output from AI-powered features (e.g. listing scoring) is provided as guidance only and is not investment advice or a guarantee of profit.

You can cancel your subscription at any time from your account settings. We may suspend or terminate your account if you violate these Terms, fail to pay, or use the Service in a way that creates legal or operational risk for us, eBay, or other customers.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WEST MICHIGAN 3PL INC DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT WILL WEST MICHIGAN 3PL INC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Exclusive venue for any dispute lies in the state and federal courts located in Allegan County, Michigan, and you consent to personal jurisdiction there.

We may update these Terms from time to time. The “last updated” date at the top of the page reflects the most recent change. Material changes will be communicated by email to active account holders at least 14 days before they take effect.
